Upgrade version: If you have Windows XP SP2, you can install Vista, and the only thing that will change is the operating system. You still have the option to do a clean/formatted install, and a re-installation, just so long as you have at least Windows XP SP2 installed.
Full version: Same thing as above, except you do not need any operating system to be installed to do any of that. Definitely worth the extra cash if you format/upgrade/repair/reinstall operating systems a lot.

So basicly I can instal windows and then just upgrade from there and pay alot less for Vista. Also lets say I get a windows Vista CD can I use that cd key that I get on a real windows vista cd. Also can I use that cd-key for 64 bit also
